Premier Health of America Inc., a Blainville, Quebec-based healthcare staffing company, has entered into an agreement to acquire Solutions Staffing Inc., a Vancouver, British Columbia-based healthcare staffing company that provides nurses and related health professionals . The deal will make Premier a national service provider in Canada.
The total consideration for the transaction is CAD$21 million (US$15.9 million) in cash plus net working capital and tax adjustments. In addition, an additional CA$4 million (US$3.0 million) is payable over the next two years based on EBITDA performance. The deal is expected to close in 45 days.
“We are very excited to have the opportunity to continue to grow Solutions Staffing’s travel nursing operations with their experienced management team,” said Martin Legault, CEO of Premier Health. “The acquisition of Solutions Staffing will result in Premier Health becoming a national service provider with operations across Canada, an important milestone for our company.”
SSI reported revenues of CA$74.0 million (US$54.0 million) for the fiscal year ended September 30. The Company operates in British Columbia, Alberta, Saskatchewan, the Northwest Territories, Nunavut and Yukon.
