TORONTO, 24 October 2021 / CNW / – The Board of Directors (the “Board”) of Rogers Communications Inc. (the “Company” or “RCI”) is pleased to announce that it has held its first meeting as reconstituted thereafter of the resolution by consent of the shareholders (the “Shareholder Resolution”) adopted Friday, October 22, 2021. During the Board of Directors, the Company appointed Mr. Edouard Roger as chairman of the board of directors.
The Board is made up of Jack Cockwell, Michael cooper, Robert Dépatie, Ivan Fécan, Robert gemmel, Alain horn, Jan Innes, Jack kerr, Philippe Lind, Joe natale, Edouard Roger, Loretta Rogers, Melinda Rogers-Hixon, and Martha rogers.
Main director Robert gemmel added: “As a member of the board since 2017, I fully support the changes that have been implemented. be independent from management and it is now. I am excited about what the future holds for Rogers Communications.
The board expressed its disappointment that some within the company resisted the recognition of the change of directors which took effect on Friday morning in accordance with article 180 of the Business Corporations Act (British Columbia) and the articles of association of RCI.
Sir. Edouard Roger advised that it intends to initiate proceedings in the Supreme Court of British Columbia to uphold and implement the shareholders’ resolution.
